These Terms of Service (“Terms”) govern your access to and use of the services, including software, applications, websites, and platforms (collectively, the “Services”) provided by PineappleBeingCut (“we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.
1. Services
PineappleBeingCut provides development and implementation of artificial intelligence solutions for businesses. The specific services provided will be outlined in a separate agreement or proposal (“Project Agreement”) between you and PineappleBeingCut. These Terms apply to all Services, and in the event of a conflict between these Terms and a Project Agreement, the Project Agreement will control.
2. Account Creation and Use
Some Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account. You represent and warrant that the information you provide to us is accurate, complete, and current.
3. Intellectual Property Rights
- Our Ownership: We retain all right, title, and interest in and to the Services, including all related intellectual property rights, such as copyrights, patents, trademarks, and trade secrets. Except as expressly granted in these Terms or a Project Agreement, you are granted no rights to our intellectual property.
- Your Data: You retain ownership of your data that you provide to us. We will only use your data as necessary to provide the Services and as described in our Privacy Policy [Insert link to Privacy Policy if available].
- Deliverables: Ownership of deliverables created specifically for you as part of a Project Agreement will be outlined in that agreement.
4. Payment
Payment terms for the Services will be outlined in the relevant Project Agreement. Unless otherwise agreed, you are responsible for all fees and expenses associated with your use of the Services.
5. Confidentiality
Both parties agree to keep confidential any non-public information disclosed by the other party in connection with the Services. This obligation will survive the termination of these Terms.
6. Warranties and Disclaimers
- Disclaimer of Warranties: THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
- Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7. Term and Termination
These Terms will remain in effect until terminated by either party. We may terminate these Terms or suspend your access to the Services at any time for any reason, including if you breach these Terms. Termination of these Terms will not affect any accrued rights or obligations of either party.
8. Governing Law and Dispute Resolution
